因此，双方兹以上述契约与条件为约因，约定如下：

article1:Services第一条：服务内容

1.administrationSupport-hotelreservation,transportationarrangement,airticketbooking,

行政支持：酒店预订、车辆安排、机票预订、行程安排、咨询服务等

2.VerbaltranslationserviceduringbusinesstripinHongKongormainlandChina(Chinese-

english,Chinese–Hungarian）.

口译：根据需要在商务考察（中国香港或大陆地区）行程中提供中英、中匈翻译。

3.writtentranslationservice,incl.commercialdocumentsandrelatedproductinformation

(Chinese–english,english-Chinese)

笔译：商务信函、文件及产品相关信息的中英、英中翻译

4.Localmarketresearchandreport市场调查与报告

5.Sourcingsupport,incl.samplecollectionanddelivery

寻找供货商/货源并按照甲方要求收集、交付样品

6.purchasingSupport(ifpartyBreceivestheformalorderfrompartya)-productionstatustrack&update,qualityinspection&acceptance,storageandshippingarrangement(incl.documentpreparation,customclearanceandothernecessarysupportforbothseaandairshipment.)asalescontractshallbeenteredbetweenthepartiesforsuchpurchasingsupportandthesalescontractshallprevailincaseofanydiscrepancy.

采购支持（如乙方收到甲方的正式订单）跟踪并更新生产状况、验货、仓储以及发货安排

（包括海运或空运的相关档准备、清关服务及其它支持）。针对采购支持服务，双方需另行

签订销售合同，且如有差异，以销售合同为准。

article2:ServiceRates&adjustment第二条：费率及调整

partyBshallchargeforitsservicesstipulatedasaboveandtherateslistedinpartyB’sformal

quotationshallapply.

乙方将按照其单独报价单中的费率标准向甲方收取上述相关服务的费用。

乙方应按照甲方确认的报价金额向甲方开具发票，甲方应在乙方执行服务前依照发票金额全额支付服务费。

article3:Confidentiality第三条：保密

inperformanceoftheservicesunderthiscontract,partyBmayreceiveproprietaryandconfidentialinformationfrompartya.allsuchinformationshallbesafeguardedandnotbedisclosedtothirdpartieswithoutapprovalbypartya.

本协议有效期内，甲方可能向乙方披露具有产权的、保密性的信息。所有这些信息将会被保护，乙方在未获得甲方准许的情况下不得向任何第三方透露。

article4entireagreement&amendment第四条：完整性与修改

thisContractanditsappendices(includingbutnotlimitedtoquotation)constitutethefinal,completeandexclusivestatementofthecontractofthepartieswithrespecttothesubjectmatterthereof.itsupersedesallpriorcommunications,understandingsandagreementsrelatingtothesubjectmatterhereof,whetheroralorwritten.nomodificationorclaimedwaiverofanyprovision

ofthisContractshallbevalidexceptbywrittenamendmentsignedbyauthorizedrepresentativesofthepartiesthroughnegotiation.

本合同及合同附件（包括但不限于报价单）共同构成合同双方基于本合同所涉技术服务的最终、完整且排他性的.协议，并取代此前双方达成的所有口头或书面沟通、理解与协议。对本合同的任何修改需经双方协商一致并书面签署。

article5DisputeResolution第五条：争议解决

Contract,thepartiesshallsolveattempttoresolvesuchdisputethroughfriendlyconsultations.if

suchattemptfails,eitherpartyshallbeentitledtosubmitthedisputetoChinainternationaleconomicandtradearbitrationCommission.

任何与本合同相关或起于本合同的争议或异议，双方应尝试以友好协商方式解决。如上述方式无效，任一方均可向中国经济贸易仲裁委员会提请仲裁解决。

article6:Language第六条：语言

thiscontractshallbewritteninbothChineseandenglish.Bothlanguageversionsareequallyauthentic.intheeventofanydiscrepancybetweenthetwoaforementionedversions,theenglishversionshallprevail.

本合同中、中英两种文字具有同等法律效力，在文字解释上，若有异议，以英文解释为准。

该信用证必须在45天前开到卖方,信用证的有效期应为装船期后15天,在上述装运口岸到期,

（1）异议:品质异议须于货到目的口岸之日起30天内提出,数量异议须于货到目的口岸之日起15天内提出。但均须提供经卖方同意的公证行的检验证明.如责任属于卖方者卖方

于收到异议20天内答复买方并提出处理意见.

QUaLitY/QUantitYDiSCRepanCY:incaseofqualitydiscrepancy,claimshouldbefiled

bytheBuyerswithin30daysafterthearrivalofthegoodsatportofdestination,whileforquantitydiscrepancyclaimshouldbefiledbytheBuyerswithin15daysafterthearrivalofthegoodsat

portofdestination.inallcases,claimsmustbeaccompaniedbySurveyReportsofRecognized

publicSurveyorsagreedtobytheSellers.Shouldtheresponsibilityofthesubjectunderclaim

befoundtorestonpartoftheSellers,theSellersshall,within20daysafterreceiptoftheclaim,

sendhisreplytotheBuyerstogetherwithsuggestionforsettlement.

（2）信用证内应明确规定卖方有权可多装或少装所注名的百分数，并按实际装运数量议付。（信用证之金额应较本售货合约的金额增加相应的百分数）

theSellersreservetheoptionofshippingtheindicatedpercentagemoreorlessthanthequantityherebycontracted,andthecoveringLetterofCreditshallbenegotiatedfortheamountcoveringthevalueofquantityactuallyshipped.(theBuyersarerequestedtoestablishtheL/CinaccordwiththeindicatedpercentageoverthetotalvalueoforderasperthisSalesContract.)

（3）信用证内容须严格符合本售货合约的规定，否则修改信用证的费用由买方负担，卖方亦不负因修改信用证而延误装运的责任。并保留因此而发生的一切损失的索赔权。

thecontentsofthecoveringLetterofCreditshallbeinstrictaccordancewithstipulationsoftheSalesContract;incaseofanyvariationthereofnecessitatingamendmentoftheL/C,theBuyersshallbeartheexpensesforeffectingtheamendment.thesellersshallnotbeheldresponsibleforpossibledelayofshipmentresultingfromawaitingtheamendmentoftheL/C,andreservetherighttoclaimfromtheBuyerscompensationforthelossesresultingtherefrom.

（4）除经约定保险归买方投保者外，由卖方向中国的保险公司投保。如买方须增加保险额或须加保其他险，可于装船前提出，经买方同意后代为投保，其费用由买方负担。

exceptincasewheretheinsuranceiscoveredbytheBuyersasarranged,insuranceistobecoveredbytheSellerswithaChineseinsurancecompany.ifinsuranceforadditionalamountand/orforotherinsurancetermsisrequiredbytheBuyers,priornoticetothiseffectmushreachtheSellersbeforeshipmentandissubjecttotheSellers’agreement,andtheextrainsurancepremiumshallbefortheBuyers’account.

（5）买方须将申请许可证副本（经有关银行副署）寄给卖方俟许可证批出后再即用传真通知卖方，假如许可证被驳退，买方须征得卖方的同意方可重行申请许可证。

theBuyersarerequestedtosendtotheSellersauthenticcopyoftheLicense-application

(endorsedbytherelativebank)filedbytheBuyersandtoadvisetheSellersbyfaximmediately

whenthesaidLicenseisobtained.ShouldtheBuyersintendtofilereapplicationforLicense

incasesofrejectionoftheoriginalapplication,theBuyersshallcontacttheSellersandobtainthe

latter’sconsentbeforefilingreapplication.

（6）商品检验：产地证明书或中国有关机构所签发的'品质数量/重量检验证，作为品质数量/重量的交货依据。

（7）因人力不可抗拒事故，使卖方不能在本售货合约规定期限内交货或不能交货，卖方不负责任，但是卖方必须立即以传真通知买方，如果买方提出要求，卖方应以挂号函向买方提供由中国国际贸易促进委员会或有关机构出具的证明，证明事故的存在。买方不能领

到进口证不能被认为系属人力不可抗拒范围。

theSellersshallnotbeheldresponsibleiftheyowingtoForcemajeurecauseorcausesfailto

makedeliverywithinthetimestipulatedinthisSalescontractorcannotdeliverythegoods.

HowevertheSellersshallinformimmediatelytheBuyersbyfax.theSellersshalldeliveryto

theBuyersbyregisteredletter,ifitisrequestedbytheBuyers,acertificateissuedbytheChina

councilforthepromotionofinternationaltradeorbyanycompetentauthority,certifyingtothe

existenceofthesaidcauseorcauses.Buyers’failuretoobtaintherelativeimportlicenseisnottobetreatedasForcemajeure.

（8）仲裁：凡因执行本合约或有关本合约所发生的一切争执，双方应以友好方式协商解决，如果协商不能解决，应提交北京中国国际贸易促进委员会对外贸易仲裁委员会根据中国国际贸易促进委员会对外贸易仲裁委员会的仲裁程序暂行规则进行仲裁，仲裁裁决是终局的，对双方都有约束力。

propertytransferorlicensecontract,materialsprocurementcontract,productsalesagreement,servicecontract,laborcontractetc.forClientwithoutspecializedprojectcontract;应当事人要求，对当事人拟签订各类重要合同，包括但不限于担保合同、贷款合同、建设工程合同、技术合同、知识产权转让、许可使用合同、物资的采购协议、产品经销协议、产品服务协议、劳动合同、劳务合同，进行法律审查或起草合同文本，但属于专项法律服务内容的除外；

.internalRulesandRegulationsReview制度审查

accordingtoClient’srequestGuangxianshallreviewanyimportantinternalrulesandregulationsrelevanttoitsemployees,salescontributor,supplierorbasedonanylegalorregulatoryrulesincludingenvironmentalprotection,firefighting,accountingorfinancialissues;应当事人要求，就当事人内容涉及当事人与其员工、经销商、供应商或根据法律法规或监管规则（例如：环境法规、消防法规、会计法或会计规则、财政税法等）要求建立的，重要规章制度进行法律审查。

.attorney’sopinions法律意见

accordingtoClient’srequest,GuangxianshallsubmitopinionsforanyissuerevolvedinClient’sbusinessandinternalmanagement.应当事人要求，就当事人业务活动和内部经营管理中涉及的法律问题提供法律意见。

.attorney’sLetter发出律师函

accordingtoClient’srequest,toresolveallrelevantdisputesofbothinternalandoutsidebusinesswithattorney’sLettertoClient’sdebtororrelevantparty.

应当事人要求，就当事人在业务活动及内部经营管理活动中出现的各类纠纷提供咨询意见或建议，发出律师函。

.Legaltraining法律知识培训

inaccordancewithClient’srequest,Guangxianshallprovidelegaltrainingfor

Client’srelevantemployees.应当事人要求，对当事人的相关人员进行法律知识和运用技巧的培训或举办法律讲座。

.DocumentsLegalReview文件的法律审查

inaccordancewithClient’srequest,reviewordraftanydocumentswithlegalbindingforceortakeanyobligation,includingbutnotlimittopost,publicity,representation,advertisementwords,externalpromiseorbids;

应当事人要求，就当事人对外发布的具有法律约束力或以承担一定义务为内容的文件，包括但不限于公告、公示、声明、广告语、对外承诺、招标文件等，进行法律审查或拟定相关文本。

根据当事人的要求，招募并引荐合营或合作伙伴或投资者(以下简称引荐客户)，招募并引荐经营项目或提供相关信息；

providelegalinformationpertainedtothebusinessofClient.Suchkindofreportshallbedeliveredmonthly.

为当事人经营活动按月提供法律信息。此类报告应当按月提供。

4.LitigationorarbitrationService诉讼和仲裁服务

.Guangxian’sserviceshallexcludelitigationorarbitration.Clientmayconsult

Guangxianforgeneralanalysisofanylitigationbeforebringslawsuitorwithinthreedaysafterreceivingacourtsummons.Guangxianshallsupplylegal

consultingservicebasedhereunder.

11.由于发生人力不可抗拒的原因，致使本合约不能履行，部分或全部商品延误交货，卖方概不负责。这个合同所指的不可抗力系指不可干预、不能避免且不能克服的客观情况。theSellershallnotbeheldresponsibleforfailureordelayindeliveryoftheentirelotoraportionofthegoodsunderthisSalesContractinconsequenceofanyForcemajeureincidentswhichmightoccur.Forcemajeureasreferredtointhiscontractmeansunforeseeable，unavoidableandinsurmountableobjectiveconditions.

12.仲裁(arbitration)：

因凡这个合同引起的或与这个合同有关的任何争议，如果商量不能解决，应提交中国国际经济贸易仲裁委员会深圳分会。按照申请仲裁时该会当时施行的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。

第十三条．允许/不允许部分装运或转运。

第十八条．不可抗力：

（1）在货物制造和装运过程中，由于不可抗力的原因（如战争、严重火灾、水灾、台风和地震或其他由双方认可的事件）致使延期交货或不能交货，卖方概不负责。卖方于不可抗力事件发生后，应立即通知买方并在事发天内，以航空邮件将事故发生所在地当局签发的证书寄交买方以作证据。

（2）在此情况下，买卖双方应当根据具体情况确定合同是否能够继续履行以及卖方是否仍有责任采取必要措施促使尽快交货。

（3）不可抗力事故发生后超过天而合同尚未履行完毕，买方有权解除合同。

第十九条．合同延期和罚款：

除本合同十八条所述不可抗力原因外，卖方若不能按合同规定如期交货，应当提前通知买方，买方可同意延期交货，且可以同时相应减少议定的货款支付金额，并通知付款银行相应减少议定的支付金额。该减少的部分作为合同延期履行的违约金，但违约金数额不得超过迟交货物总额的5％。卖方若逾期10个星期仍不能交货，买方有权解除合同，且有权要求卖方如期支付上述违约金。

第二十条．合同争议的解决方式：

凡涉及本合同或因执行本合同而发生的一切争议，应通过友好协商解决，如果协商不能解决，则可提交中国-西安仲裁委员会根据该会的仲裁规则和程序进行仲裁。仲裁将在西安进行，仲裁裁决是终局的，对双方都有约束力。仲裁费用由仲裁庭决定具体承担。

7.市场情况报告ReportsonmarketConditions

乙方每3个月向甲方提供一次有关当时市场情况和用户意见的详细报告。同时，乙方应随时向甲方提供其他供应商的类似商品样品及其价格、销售情况和广告资料。

9.协议有效期Validityofagreement

二、采购合同效力：effectofprocurementContract::

1、本合同的条款和条件均适用于依据本合同所制定生效的附则、订单、报价单及补充协议、相关修订书。供方和需方将就需方依据本合同采购的不同产品的价格、技术规定、品质标准及维修服务另行签订附则，作为本合同的补充。

2、本合同的签署并不表明需方有义务购买供方的产品，本合同也不限制需方向其他货源采购与供方所提供产品相同或类似的产品。需方采购供方产品的义务仅在生效订单下才对需方有法律约束力。

三、价格及付款：priceandpayment:

1、需方向供方提供产品报价单格式。供方在双方约定或需方要求的期限内，根据需方所提供的报价单格式填写相应内容并交需方确认(如无另行约定，供方应自收到需方报价单格式之日起三个工作日内将相应内容交需方进行确认)。经需方书面接受的报价单上之价格为正式生效的产品报价，双方应全面履行。经双方确认并生效的几份或数份报价单之间，以最后生效的报价单所载的内容为当前阶段(报价和期间)为生效执行的产品价格(和期间)。对于需方要求提供的成本结构清单，供方需要在报价单的同时按照需方要求格式附带提供相应文档。

2、供方对需方的报价必须遵循诚信的原则，供方不得采取向研发/工程部门报以低价，而向采购部门报以高价等不诚信行为;一旦发生类似情况，需方有权终止本合同并保留向供方索赔的权利。

四、订单：purchaseorder:

1、需方给供方下达网上订货单(若无共享网络资源的需下达书面订单)，应在订货单中明确交货日期及每次的交货数量，并通知供方;供方应遵守订货单所载内容交货，除非双方事先以书面形式同意变更订货单的约定内容外，供方的交货不得与订单的约定内容有异。

2、供方接到订货单后，如是正常订货，供方应于接到订单两日(需方的工作日)以内，如是紧急订货应于接到订单一日(需方的工作日)以内，以书面传真回复需方进行确认;如超出期限无供方的回复，即表示供方同意需方订货单所载的交货要求。供应商确认的交货周期不得超过本协议附件中规定的各项时间期限。

3、由于市场变化或其他不可预测因素导致需方对产品需求发生变化时，需方可变更或中止相关生效订单，需方应尽快通知供方，具体相关事宜由双方另行协商确定，并形成书面文件。

五、交货和包装：Deliveryandpackaging:

1、交货：Delivery:

除非双方另有约定，本合同的交货是指由供方或供方委托的人员或机构将产品交到需方仓库，与需方仓库责任人办理交货手续，并同时提供有关产品的单证和资料，并承担相应费用(包括但不限于运输、保险及卸货的费用)。

供方必须满足经(双方)确认的生效订单中交货期的要求，按时交货。当需方要求提前交货时，应通知供方，供方应采取适当的措施，努力满足交货要求;若确实无法满足，应于收到需方通知之日起一个工作日内，以书面形式向需方告知最早的交货时间和数量。

因供方原因迟延交货，导致需方不能向第三人紧急出货时，需方有权向其它方采购，并且由此产生的费用由供方承担;且如因此导致需方遭受损失时，供方需赔偿其损失;若因不可抗力的天然灾害所导致的交货延迟，则供方不须赔偿或负担其费用。

除非另有规定，包装物应由供方提供并自负费用，包装物上的装运标志必须符合需方要求。

供方应保证所提供的包装物符合运输、产品安全的要求;供方应采用合适的安全措施，妥善包装货物，达到防潮、防湿、防震、防尘等要求;双方对包装方式另有约定的，应遵守双方约定;因包装不符合规定造成产品损坏、灭失或其他损失的责任由供方承担。

六、收货及检验：acceptanceandinspection:

1、双方应按照约定交货方式进行交货;需方应于供方产品送达约定地点后清点合同产品，核对产品数量、名称、包装等，并办理收货确认手续。

七、品质保证：Qualityassurance:

1、除非另有约定，供方交付的产品应符合：①本合同“陈述和保证”及本条款等规定的内容;②经双方确认的产品技术规格，检验标准以及双方不时签发和确认生效的相关修订书，工程、计划、规格变更通知等文件总规定的标准;③生效订单中规定的标准，以及封样样品表示的标准。上述标准之间如有冲突，则按照最新确认的标准执行，无法确定标准确认时间的，按照较高标准执行。

2、根据需方Qa部的要求，供方应当配合《品质保证协议》的签署工作，进行积极协调并达成双方都能接受的共识，促成双方成功签署《品质保证协议》;双方都有认真履行《品质保证协议》的义务。

theSuppliershallproactivelycooperatewiththeDemander’sQadepartmenttofacilitatethesignatureofQualityassuranceagreementandthegenerationofconsensusacceptabletobothparties.BothpartiesareliableforearnestlyexecutingtheQualityassuranceagreement.

3、双方将来可对上述内容规定做更明确的补充规定，但该补充规定的标准高于上述规定的或有更具体的标准的，按补充规定执行;低于上述规定的标准的，按上述规定的标准执行。

八、陈述和保证：Representationandwarranty:

1、供方对其提供的产品享有合法的所有权，同时没有索赔、扣押、抵押或其他行为存在或威胁到供方，以致妨碍到需方对产品使用和销售。

2、对本合同的执行不会违反与其相关的任何合同条款、责任、法律、法规和法令，产品符合产品生产、储存、销售的强制性法律、法规规定的标准。

3、产品是原厂新的且不包含任何用过的或修过的部件，并正常进口。

4、供方产品及其产品支持文件不侵犯任何第三方的知识产权，需方不会因使用、销售产品或产品的任何部分侵害任何第三方的知识产权。

7、关于货品制造上必须使用的模具;

双方需制定模具采购/保养合同，该合同中应包含关于模具价格、付款、所有权、保管、保密、技术协议等内容，双方均需按照此模具采购合同执行。

8、知识产权：intellectualpropertyRights:

使用许可：除非另有约定，供方向需方提供的本合同涉及的产品并不视为该产品所含有的供方拥有或控制的任何知识产权的转让;但对于需方在加工、组装、使用或销售产品时必须拥有知识产权许可的产品，供方依据本合同有权并已经向需方授予了该知识产权的符合本合同目的的使用许可。

在本合同项下需方提供的任何技术、设计及功能需求，其知识产权和财产权归需方所有，此类技术、涉及或功能仅限于按需方要求移植到合同产品上去。

9、保密：Confidentiality:

除了那些供方可从公开渠道或以正当途径从第三方获得的信息外，供方对任何从需方得到的与本合同相关的保密信息或需方经营/技术方面的信息，以及需方在交易谈判过程中提供的有关涉及商业秘密的信息，供方在任何时候，即使在本合同终止后，也不得透露给任何人。当需方有要求时，供方应将包含这些信息的所有文件和材料退还需方。

anyconfidentialinformationacquiredfromtheDemanderorfromthiscontract,orrelevanttoDemander’sbusinessandtechnology,andanyinformationinvolvingcommercialconfidentialityprovidedbytheDemanderinthecourseofnegotiationshallneverbedisclosedbytheSuppliertoanyotherpersonevenaftertheterminationofthiscontract,exceptforthoseinformationwhichisavailableinpublicorformallyacquiredfromthethirdparty.theSuppliershallreturnalldocumentsandmaterialscontainingsuchinformationtotheDemander,uponrequestbytheDemander.

如根据政府法令或法律程序要求任何一方必须向政府、裁判机构或任何第三防提供上述资料，可按规定提供，但应尽快将此项事实通知对方。

本合同任何变更、解除或终止均不影响本条款的效力。

九、违约责任：LiabilitiesforBreachofContract:

1、供方未按照生效订单要求的时间交付产品，应承担逾期交货违约责任，即每逾期一天，供方应支付订单总金额的1%作为违约金。逾期十日仍未交付，需方有权解除该订单的约束力，供方应承担不能交货的违约责任，即支付订单总额一倍的违约金;

一方迟延履行合同义务，导致另一方的合同目的不能实现的，或者一方迟延履行合同义务，经另一方催告后十天内仍不履行的。

装运通知：卖方应在货物装运完毕后24小时内用传真将空运单、发票和装箱单发给买方。

如卖方未按时向买方通知上述装运情况所导致损失由卖方承担。

(16)质量保证：GUaRanteeoFQUaLitY:

卖方保证订货系用最上等的材料和头等工艺制成，全新的，未曾使用过的,并完全符合本合同规定的质量、规格和性能。卖方并保证本合同订货在正确安装、正常使用和维修的情况下，自安装之日起十二个月或货物装运之日起十五个月内运转良好，以先到期者为准。由于人为造成的、易损易磨件除外。

(17)迟交货及罚款：LateDeLiVeRYanDpenaLtY

除合同第16条人力不可抗拒事故外，如卖方不能按合同规定的时间交货，买方应同意卖方支付罚款的条件下延期交货。罚款可由议付银行在议付货款时扣除，罚款率按每7天收，不足7天时以7天计算。但罚款不得超过迟交货物总价的5%。如卖方延期交货超过合同规定10周时，买方有权撤消合同，此时，卖方仍应不迟延地按上述规定向买方支付罚款。

买方有权对因此遭受的其它损失向卖方提出索赔。

(19)人力不可抗拒事故：FoRCemaJeURe：

由于人力不可抗拒事故，而卖方交货延迟或不能交货时，责任不在卖方，但卖方应立即将事故通知买方，并于事故发生后十四天内将事故发生地政府主管机关出给的事故证明书用空邮寄交买方为证，并取得买方认可。在上述情况下，卖方仍负有采取一切必要措施从速交货的责任。如果事故持续超过十个星期买方有权撤销本合同。

ConsultantshallinformClientbyfaxwhenthetechnicalservicereportsareairmailedtoClientindicatingthedateandnumberofairwaybill.ClientshallinformConsultantwhenthetechnicalservicereportshavebeenreceived.

Shouldanydocumentbemissingordamagedduringthetransport,Consultantshallbenotifiedaccordinglyandwithintwo(2)weeksthemissingordamageddocumentshallbereplacedbyConsultantfreeofcharge.

article5Confidentiality

alldataassembled,developed,compiled,reproduced,studied,andpreparedinconnectionwiththeworkdonehereunderandfurnishedtoConsultantbyClientshallbeconsideredconfidentialandshallnotbedivulgedtoanyperson,firmorcorporationotherthanClientoritsdesignatedrepresentatives.thisClauseshallremainbindingonConsultantnotwithstandingtheterminationoftheContractforanyreason.

withinthevalidityperiodofContract,bothpartiesshalltakepropermeasurestokeepthematerialsorinformationstrictlyconfidential.theotherpartyshallnotdiscloseordivulgetoanythirdpartywithoutpriorwrittenconsentofoneparty.

eitherpartyshallbeobligedtokeepconfidentialanysecretinformationoftheotherparty,whicheitherpartyanditspersonnelmayobtainorbeaccessibletointhecourseoftheperformanceofContract.eitherpartyshallnotmakeuseofordisclosesuchsecretinformationobtainedfromtheotherpartywithoutpriorwrittenpermissionissuedbytheotherparty.

article6taxesandDuties

alltaxesanddutiesinconnectionwithandintheexecutionofContractleviedbytheChinesegovernmentonClientinaccordancewiththetaxlawsofpRCshallbebornebyClient.

alltaxesanddutiesleviedbytheChinesegovernmentonConsultant,inconnectionwithandintheexecutionofContract,accordingtoChinesetaxlawsandtheagreementbetweenthegovernmentofpRCandthegovernmentofConsultant'scountryforthereciprocalavoidanceofdoubletaxationandthepreventionoffiscalevasionwithrespecttotaxesonincomeshallbebornebyConsultant.

Clientislegallyobligedtowithhold,asawithholdingagent,theamountoftaxesprorataeachtaxablepaymentunderContractandpaythemtotherelevantChinesetaxauthorities.afterreceivingthetaxreceiptsissuedbytherelevantChinesetaxauthoritiesfortheaforesaidwithholdingtaxes,ClientshallforwardthemtoConsultantwithoutunduedelay.

alltaxesanddutiesarisingoutsidepRCinconnectionwithandintheexecutionofContractshallbebornebyConsultant.

article7warranty

ConsultantwarrantsthathehastheexperienceandcapabilitytoefficientlyandexpeditiouslyperformtheservicesinasatisfactorymannerandthattheservicesperformedbyhimunderthisContractshallbeperformedbycompetentpersonnelinaccordancewithacceptedstandards.

intheeventofafailureofConsultanttoprovideClientwithsatisfactoryserviceswithinthescopeofworkdescribedinappendix1atanytimeforanyreasonwithinthecontroloftheConsultant,ClientmaynotifyConsultantofsuchdissatisfaction.Consultantshallbeaffordedaperiodof_____daystocorrectorremedythematter.ShouldConsultantwithinthetimeaffordedbyClientfailtocorrectorremedythemattertothesatisfactionofClient,allchargesshallceaseforthwithuntilsuchtimeasConsultantisabletoprovidesatisfactoryservicesinaccordancewiththeScopeofworkdescribedinappendix1.

theConsultant‘sguaranteeliabilityshallexpire_____monthsafteritsconsultancyserviceisfinallyinspectedandacceptedbyClient,orafterfinalpaymentismade.

article8ownershipoftechnicalServiceReports

FinalversionofthetechnicalservicereportsubmittedtoClientandallrelevantdatasuchasmaps,plansandsupportingmaterialcompiledinperformingtheScopeofServices,shallbethepropertyofClient.SuchmaterialsshallbesortedandindexedbyConsultantpriortotransmissiontoClient.

Consultantshallbepermittedtoretaincopiesthereof,providedhoweverthatsuchmaterials,includingthematerialfurnishedbyClientasstatedinarticle5ofthisContract,shallnotbeusedbyConsultantforpurposesnotrelatedwiththisprojectwithoutthepriorwrittenapprovalofClient.

article9assignment

neitherClientnorConsultantshallassignorsublettheirrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherparty.

article10termination

if,duetotheresponsibilityofConsultant,thetechnicalservicereportshavenotbeendeliveredatdatesaccordingtothedeliveryschedulesasstipulatedinarticle4oftheContract,ConsultantshallbeobligedtopaytoClientpenaltyforsuchdelayindeliveryatthefollowingrates:

article11Forcemajeure

ShouldeitherpartybepreventedfromperforminganyofitsobligationsunderContractduetoeventofForcemajeure,suchaswar,seriousfire,typhoon,earthquake,floodandanyothereventswhichcouldnotbeexpected,avoidedandovercome,theaffectedpartyshallnotifytheotherpartyofitsoccurrencebyfaxandsendbyregisteredairmailacertificateissuedbythecompetentauthoritiesoragencywithinfourteen(14)daysfollowingitsoccurrence.

theaffectedpartyshallnotbeliableforanydelayorfailureinperforminganyorallofitsobligationsduetotheeventofForcemajeure.However,theaffectedpartyshallinformtheotherpartybyfaxtheterminationoreliminationoftheeventofForcemajeurewithoutdelay.

BothpartiesshallproceedwiththeirobligationsimmediatelyaftertheceaseoftheeventofForcemajeureorremovaloftheeffects.thevalidityperiodofContractand/orthescheduledperiodforrelativeexecutionofContractshallbeextendedcorrespondingly.

article12arbitration

anydisputearisingfromorinconnectionwiththisContractshallbesubmittedtoChinainternationaleconomicandtradearbitrationCommission,ShenzhenSub-commissionforarbitrationinaccordancewiththeCommission'sarbitrationrulesineffectatthetimeofapplyingforarbitration.thearbitralawardisfinalandbindinguponbothpartiesandtheapplicablelawisthemateriallawof.

notwithstandinganyreferencetoarbitration,bothpartiesshallcontinuetoperformtheirrespectiveobligationsundertheContractunlessotherwiseagreed.

article13LanguageandStandards

CorrespondenceexceptthisContractbetweenClientandConsultant,dataanddocumentsmadeavailablebyClienttoConsultantandthetechnicalservicereportsanddrawingspreparedbyConsultantshallbeintheenglishlanguage.

article14GoverningLaw

theconstruction,validity,andperformanceofthisContractshallbegovernedbythelawsofthepeople'sRepublicofChina.

article15effectivenessoftheContractandmiscellaneous

Bothpartiesshallmakeefforttoobtaintheapprovalfromtherespectiveauthorities,ifnecessary,withinthirty(30)daysafterContractissignedbytheauthorizedrepresentativesofthetwoparties.eitherpartyshallnotifyinwritingtheotherpartyoftheapprovaldate.thelaterdateofapprovalshallbetakenastheDateofeffectivenessofContract.

Contractshallbevalidandremaininforcefor_______(____)yearsfromtheDateofeffectiveness.
