1Definitions
在本合同中,下列词语的含义如下:

·棉花废料:加工或使用棉花过程中产生的下脚回收废料等。

·欺诈棉包：单个棉包中：含有与棉花完全无关的非棉物质；里面含有污染棉花，但从棉包外部或可看出或看不出来；好棉花在外面，次棉花包在里面，以免在常规检查中被发现；有一定数量的无纺用价值棉花。

·溢短装率：到岸重量超出或少于合同规定重量的部分占合同总重量的百分率。
weighttoleranceRatio:thepercentageofthepartoftheCiQlandedweightexceedingorshorterthantheweightprovidedbytheContractagainstthetotalcontractweight.
·棉包密度：采用通用棉包密度，是指根据国际标准化组织——iSo第8115-1986（e）的规定，一个货包长度在1060-1400毫米，宽度540毫米，高度700-950毫米。

适合于海运的紧缩机出口包装，外裹棉布或其他不能产生异性纤维的包装，捆扎牢固，包装完整。如果使用容易产生异性纤维的包装材料包装棉花，则卖方须承担全部清理异性纤维的费用。棉花须以通用密度压缩货包的形式供货。
Compressedexportpackingsuitableforvoyage,outsidewrappedbycottonclothorotherpackingmaterialsthatdonotcontainforeignmatters,tightlyandcompletelypacked.ifanypackingmaterialsthatmayeasilyproduceforeignmattersareusedtopackthecotton,theSellershallbearalltheexpensesforthecleaningofforeignmatters.thecottonshallbesuppliedinformsofuniversaldensitycompressedpackage.

除非另有约定，在棉包上挂有永久性棉包标识卡或在棉包的两侧用不褪色的颜料按下列项目逐包刷唛，其内容为：

如为FoB成交:卖方应在收到船公司的装运通知后48小时内，通知买方合同号、品级、长度级或小样型号、包装、净重、金额；装船日期、装船口岸、目的港和预计到港日期，并航寄、传真或电子邮件的形式将装船单据副本一式三份给买方。

如为CFR/CiF成交:卖方应在收到船公司的装运通知后48小时内，通知买方船名、船龄(老船卖方要付超龄加保费)、船旗、装船日期、装船口岸、目的港、合同号、提单号、总金额、毛重、净重。
UnderCFR/CiFterms:theSellershallnotifytheBuyeroftheshipname,shipage(foragedshiptheSellershallpaytheover-ageextrapremium),shipflag,shipmentdate,shipmentport,destinationport,contractnumber,numberofthebilloflading,totalprice,grossweightandnetweightwithin48hoursaftertheshipmentnotificationfromtheshippingline.
如卖方未按上述、款规定通知买方，以致买方未能及时购买保险，由此而产生的损失由卖方负担。

八、劳动纪律Discipline
乙方应严格遵守甲方制定的各项规章制度和劳动纪律(详请请参照《员工手册》执行)

九、保密协议Confidentiality
乙方需严格保守工作过程中接触和了解到的公司商业秘密(包括生产技巧、工艺流程、技术秘密、管理方法、产销策略、货源情报、设计图纸、成本价格和客户资料)，否则将受到行政处罚(如无条件解雇、赔偿等);触犯刑法的，甲方将有权移交司法机关处理。乙方调离甲方，应得到甲方同意，并将所有商业秘密资料移交甲方，同时承担不向外泄露的义务，并保证半年内不得利用甲方商业秘密在生产同类且与甲方有竞争关系的产品的其他企业内任职。否则，甲方有权要求乙方赔偿因此而带来的一切经济损失。

十、合同终止termination
1.终止本合同条件terminationconditions
a.试用期间，双方皆可即时通知对方解除本合同;

B.试用期满后，任何一方欲解除合同，须提前三十日以书面形式通知对方。否则，违约方须向守约方支付违约金(违约金为乙方一个月的工资)，若造成守约方经济损失的，应依法承担赔偿责任。

3.乙方在下列情况下终止本合同不需向甲方补偿

a.被非法限制人身自由的手段强迫劳动的;
partyBisforcedtoworkbyillegalmeans.
B.未按本合同约定支付劳动报酬或劳动条件的;

十一、甲、乙双方须共同遵守国家有关法规以及甲方《员工手册》的有关规定。

inaccordancewithClient’srequest,reviewordraftanydocumentswithlegalbindingforceortakeanyobligation,includingbutnotlimittopost,publicity,representation,advertisementwords,externalpromiseorbids;
应当事人要求，就当事人对外发布的具有法律约束力或以承担一定义务为内容的文件，包括但不限于公告、公示、声明、广告语、对外承诺、招标文件等，进行法律审查或拟定相关文本。

二、采购合同效力：effectofprocurementContract::
1、本合同的条款和条件均适用于依据本合同所制定生效的附则、订单、报价单及补充协议、相关修订书。供方和需方将就需方依据本合同采购的不同产品的价格、技术规定、品质标准及维修服务另行签订附则，作为本合同的补充。

三、价格及付款：priceandpayment:
1、需方向供方提供产品报价单格式。供方在双方约定或需方要求的期限内，根据需方所提供的报价单格式填写相应内容并交需方确认(如无另行约定，供方应自收到需方报价单格式之日起三个工作日内将相应内容交需方进行确认)。经需方书面接受的报价单上之价格为正式生效的产品报价，双方应全面履行。经双方确认并生效的几份或数份报价单之间，以最后生效的报价单所载的内容为当前阶段(报价和期间)为生效执行的产品价格(和期间)。对于需方要求提供的成本结构清单，供方需要在报价单的同时按照需方要求格式附带提供相应文档。
theDemandershallprovideapricequotationformformattotheSupplier.theSuppliershallfillinthepricequotationformandsenditbacktotheDemanderforconfirmationwithinaperiodoftimeagreeduponbybothpartiesorrequestedbytheDemander(unlessotherwiseagreedupon,theSuppliershallfillintheformandsenditbacktotheDemanderwiththree(3)workingdaysafterreceiptofthepricequotationformformatfromtheDemander).thepriceonthepricequotationsheetacceptedbytheDemanderinwritingrepresentstheformallyvalidatedproductpriceandshallbecompliedwithbybothparties.thecontentspecifiedinthepricequotationformlastvalidatedrepresentsthecurrentproductpriceandshallbeexecutedbybothpartieswhenanumberofpricequotationformshavebeenconfirmedandvalidatedinbetween.therelevantdocumentcontainingCostStructuredemandedbytheDemandershallbeprovidedintheformasrequiredbytheDemander.
2、供方对需方的报价必须遵循诚信的原则，供方不得采取向研发/工程部门报以低价，而向采购部门报以高价等不诚信行为;一旦发生类似情况，需方有权终止本合同并保留向供方索赔的权利。
theSuppliershallprovidethepricequotationtotheDemanderonprincipleofhonesty.UpondiscoveryofsuchdishonestactivitiesastheSupplierquotingalowerpricetoresearchanddevelopmentdepartmentwhilequotingahigherpricetoprocurementdepartment,theDemanderreservetherighttoterminatethiscontractandreserveallrightstoclaimagainsttheSupplier.
3、合同产品经需方检验合格入库后，电汇____天或承兑____天(如应供方要求,需方提前支付货款,则供方需承担对应期间的资金利息,双方约定计息标准为年利率6%)。

4、在合同有效期内，如果单价高于当时市场价的3%，需方有权在任何时间重新审核确认单价。
Demanderreservestherighttoreviewthepriceatanytimeduringthecontractincasefindthatitisabovethemarketpricebymorethan3%.
四、订单：purchaseorder:
1、需方给供方下达网上订货单(若无共享网络资源的需下达书面订单)，应在订货单中明确交货日期及每次的交货数量，并通知供方;供方应遵守订货单所载内容交货，除非双方事先以书面形式同意变更订货单的约定内容外，供方的交货不得与订单的约定内容有异。
theDemandershallspecifythequantityofproductstobedeliveredeachtimeandthedeliverydateontheonlinepurchaseorder(purchaseorderinwritingshallbemadeiftheDemanderhasnoaccesstointernet)andnotifytheSupplier.theSuppliershalldelivertheproductsasspecifiedonthepurchaseorder.thedeliveredproductsbytheSuppliershallnotbeinconsistentwiththepurchaseorder,unlesspriorconsentismadebybothpartiesinwriting.
2、供方接到订货单后，如是正常订货，供方应于接到订单两日(需方的工作日)以内，如是紧急订货应于接到订单一日(需方的工作日)以内，以书面传真回复需方进行确认;如超出期限无供方的回复，即表示供方同意需方订货单所载的交货要求。供应商确认的交货周期不得超过本协议附件中规定的各项时间期限。
theSuppliershallreplytotheDemanderinwritingbywayofFaxforconfirmationwithintwo(2)workingdays(demander’sworkingday)afterreceiptofthenormalpurchaseorderorwithinone(1)workingdays(demander’sworkingday)afterreceiptoftheemergencypurchaseorder.ifnoreplyismadebytheSupplierwithinsuchforegoingperiod,theSupplierisdeemedtohaveagreedtheproductdeliveryrequirementspecifiedonthepurchaseorder.thedeliverytimewhichthesupplyconfirmedcan’texceedthetimeontheattachedfilesagreedbybothparties.
3、由于市场变化或其他不可预测因素导致需方对产品需求发生变化时，需方可变更或中止相关生效订单，需方应尽快通知供方，具体相关事宜由双方另行协商确定，并形成书面文件。
theDemandermaychangeorterminatetherelevanteffectivepurchaseorderincasethatthedemandoftheproductsischangedduetothechangeofthemarketorotherunpredictablefactors.theDemandershallnotifytheSupplierofsuchchangeorterminationoftherelevanteffectivepurchaseorderinatimelymanner.Detailsarrangementshallbeagreeduponbybothpartiesanddevelopedintoawrittendocument.
五、交货和包装：Deliveryandpackaging:
1、交货：Delivery:
除非双方另有约定，本合同的交货是指由供方或供方委托的人员或机构将产品交到需方仓库，与需方仓库责任人办理交货手续，并同时提供有关产品的单证和资料，并承担相应费用(包括但不限于运输、保险及卸货的费用)。
Unlessotherwiseagreeduponbybothparties,deliveryunderthiscontractmeansthattheSupplier,orthepersonnelorinstitutionauthorizedbytheSupplierdeliverandturnovertheproductstotheresponsiblepersonoftheDemander’swarehouse,withprovisionofrelevantcertificateandinformationoftheproductsconcerned,andbeartherelevantcost(includingbutnotrestrictedtotransport,insuranceandunloadingcost).
供方必须满足经(双方)确认的生效订单中交货期的要求，按时交货。当需方要求提前交货时，应通知供方，供方应采取适当的措施，努力满足交货要求;若确实无法满足，应于收到需方通知之日起一个工作日内，以书面形式向需方告知最早的交货时间和数量。
theSuppliershalldelivertheproductsontimeasspecifiedontheeffectivepurchaseorderconfirmedbythebothparties.iftheDemanderneedsanadvancedelivery,theDemandershallnotifytheSupplierwhoshallendeavortosatisfysuchrequestbytakingappropriateactions,orshallnotifytheDemanderinwritingoftheearliestpossibledeliverytimeandquantitywithinone(1)workingdayafterreceiptofthenoticefromtheDemander.
除非需方要求或同意，供方的交货时间不得提前，否则视为不按时交货，需方有权拒收。
theSuppliershallnotdelivertheproductsaheadoftheschedule,unlessdemandedorconsentedbytheDemander.DeliveringtheproductsaheadofthescheduleisdeemedtobeSupplier’sfailuretomakethedeliveryontime,andtheDemanderreservetherighttorefusetoacceptsuchproduct.
因供方原因迟延交货，导致需方不能向第三人紧急出货时，需方有权向其它方采购，并且由此产生的费用由供方承担;且如因此导致需方遭受损失时，供方需赔偿其损失;若因不可抗力的天然灾害所导致的交货延迟，则供方不须赔偿或负担其费用。
theDemanderreservetherighttoprocuretheproductsfromothersourcesunderthecircumstancethattheDemanderfailstomaketheemergencydeliveryoftheproductstothethirdpartyduetothedelayeddeliveryoftheproductsfromtheSupplierwhoisresponsibleforanycostincurredfromtheprocurementfromothersources.theSuppliershallcompensatetheDemanderforanylossincurredfromthedelayeddeliveryoftheproductswhichisduetoanycausesotherthanforcemajeureincludingnaturaldisaster.
如应需方的要求必须更改订单所记载的订单内容，应由双方协商后，形成书面文件。
anychangestothecontentofthepurchaseorderasrequestedbytheDemandershallbeagreeduponbybothpartiesanddevelopedintoawrittendocument.
2、包装：packaging:
除非另有规定，包装物应由供方提供并自负费用，包装物上的装运标志必须符合需方要求。
Unlessotherwisespecified,theSuppliershallprovideandpayforthepackagingmaterials,andthepackinglogoonthepackageshallbecompliantwiththerequirementoftheDemander.
供方应保证所提供的包装物符合运输、产品安全的要求;供方应采用合适的安全措施，妥善包装货物，达到防潮、防湿、防震、防尘等要求;双方对包装方式另有约定的，应遵守双方约定;因包装不符合规定造成产品损坏、灭失或其他损失的责任由供方承担。
theSuppliershallensurethepackagingmaterialsprovidedcomplywiththerequirementfortransportandsafetyoftheproducts,andshalltakeallappropriateprecautiousmeasuresagainstdamp,humidity,vibrationanddust.theproductsshallbepackedbythemeansagreeduponbybothparties.theSuppliershallbeliableforanydamages,lossesfromtheproductsoranyotherlossesarisingfromnon-compliancewithpackagingspecification.
六、收货及检验：acceptanceandinspection:
1、双方应按照约定交货方式进行交货;需方应于供方产品送达约定地点后清点合同产品，核对产品数量、名称、包装等，并办理收货确认手续。
theproductsshallbedeliveredtotheDemanderbythemeansagreeduponbybothparties.thedemandershallcheckforthequantity,nameandpackageoftheproductsasspecifiedonthepurchaseorderfortakeoverconfirmationatthedeliverydestinationagreeduponbybothparties.
2、产品验收按照双方确认的样品、图纸、《检验标准书》、《检验规格书》进行。未约定的验收内容有国家或行业标准的，应符合相关标准;无标准的以满足需方实际需求为准。

3、产品验收合格不表示产品质量合格。若供方产品在需方生产或消费使用过程中，因产品出现严重质量问题或存在缺陷而造成需方的直接及间接损失均由供方承担。
theacceptedproductsdonotmeanqualitypassed.theSuppliershallbeliableforanydirectandindirectlosssustainedbytheDemanderarisingfromseriousqualityproblemsordefectsoftheproductsfoundinthecourseofusingorconsumingtheproductssuppliedbytheSupplier.
七、品质保证：Qualityassurance:
1、除非另有约定，供方交付的产品应符合：①本合同“陈述和保证”及本条款等规定的内容;②经双方确认的`产品技术规格，检验标准以及双方不时签发和确认生效的相关修订书，工程、计划、规格变更通知等文件总规定的标准;③生效订单中规定的标准，以及封样样品表示的标准。上述标准之间如有冲突，则按照最新确认的标准执行，无法确定标准确认时间的，按照较高标准执行。
Unlessotherwisespecified,theproductsdeliveredbytheSuppliershallbeincompliancewith:①‘Representationandwarranty’andthetermsandconditionsunderthiscontract;②producttechnicalspecification,inspectionstandardandtheirrelevantrevisions,andthecriteriacontainedinnoticeofproject,scheduleandspecificationmodificationissuedandconfirmedbybothpartiesfromtimetotime;③criteriaasspecifiedontheeffectiveorderandasshownintheproductsample.Shouldtherebeanyconflictsamongthecriteriamentionedabove,thecriterialastconfirmed,orthehigherstandardshallbeexecutedifthetimeforthecriteriaconfirmationfailstobeidentified.
2、根据需方Qa部的要求，供方应当配合《品质保证协议》的签署工作，进行积极协调并达成双方都能接受的共识，促成双方成功签署《品质保证协议》;双方都有认真履行《品质保证协议》的义务。
theSuppliershallproactivelycooperatewiththeDemander’sQadepartmenttofacilitatethesignatureofQualityassuranceagreementandthegenerationofconsensusacceptabletobothparties.BothpartiesareliableforearnestlyexecutingtheQualityassuranceagreement.
3、双方将来可对上述内容规定做更明确的补充规定，但该补充规定的标准高于上述规定的或有更具体的标准的，按补充规定执行;低于上述规定的标准的，按上述规定的标准执行。
Bothpartiesmayenterintomorespecificregulationssupplementedtotheregulationsabove.thesupplementshallbeexecutedifthecriteriacontainedarehigherthanthoseofforegoing,ormorespecificcriteriaareprovided.Buttheregulationsaboveshallbeexecutedifthecriteriacontainedinthesupplementarelowerthanthoseoftheforegoing.
八、陈述和保证：Representationandwarranty:
1、供方对其提供的产品享有合法的所有权，同时没有索赔、扣押、抵押或其他行为存在或威胁到供方，以致妨碍到需方对产品使用和销售。
theSupplierisentitledtotheownershipoftheproductsprovidedandthereisnoexistenceofanyclaim,impoundment,mortgageoranyotherthreatenedactionsagainsttheSupplier,whichmayleadtopreventtheDemanderfromusingandsellingtheproducts.
2、对本合同的执行不会违反与其相关的任何合同条款、责任、法律、法规和法令，产品符合产品生产、储存、销售的强制性法律、法规规定的标准。
theexecutionofthiscontractshallnotviolateanyrelatedterms,responsibility,laws,regulationsanddecrees,andanyapplicablemandatorylaws,regulationsconcerningproductmanufacture,storageandsale.
3、产品是原厂新的且不包含任何用过的或修过的部件，并正常进口。
theproductsshallbenewly-manufacturedfromtheoriginalmanufacturerexclusiveofanyusedorrepairedcomponents,andshallbeimportedthroughnormalprocedure
4、供方产品及其产品支持文件不侵犯任何第三方的知识产权，需方不会因使用、销售产品或产品的任何部分侵害任何第三方的知识产权。
theproductanditssupportingdocumentsprovidedbytheSuppliershallnotinfringetheintellectualpropertyrightsofanythirdparty.UndernocircumstanceshouldtheDemanderbeliableforinfringementofintellectualpropertyrightsofanythirdpartybyusing,sellingtheproductsinwholeorinparts.
5、遵守本合同“价格条款”的有关规定，不进行欺诈性报价。
thepricingtermsunderthiscontractshallbeabidedbyandnofraudulentpricequotationisallowed.
6、由需方提供给供方用于为需方进行产品制作的物料，仅限于为需方进行生产;供方需提供固定的、安全的仓库进行储存，在其使用前，供方应对该物料的性能、数量、品质等负责，如必要，需承担相关保险的费用。
themanufacturingmaterialsprovidedfromtheDemandertotheSuppliershallbeonlyusedformanufacturingtheproducts.theSuppliershallprovidearobustandsafewarehousetostoresuchmaterialsandshallberesponsiblefortheperformance,quantityandqualityofsuchmaterialsbeforetheusage,andshallbeliableforanycostinassociationwiththeinsuranceifnecessary.
7、关于货品制造上必须使用的模具;
themoldwhichhastobeusedfortheproductmanufacturing:
双方需制定模具采购/保养合同，该合同中应包含关于模具价格、付款、所有权、保管、保密、技术协议等内容，双方均需按照此模具采购合同执行。
moldprocurementandmaintenanceagreement,whichcontainssuchcontentasprice,payment,ownership,storage,confidentialityandtechnologyagreementsshallbeenteredintoandexecutedbybothparties.
8、知识产权：intellectualpropertyRights:
使用许可：除非另有约定，供方向需方提供的本合同涉及的产品并不视为该产品所含有的供方拥有或控制的任何知识产权的转让;但对于需方在加工、组装、使用或销售产品时必须拥有知识产权许可的产品，供方依据本合同有权并已经向需方授予了该知识产权的符合本合同目的的使用许可。
UsageLicense:theprovisionoftheproductsfromtheSuppliertotheDemanderunderthiscontractisnotdeemedtotransferanyintellectualpropertyrightscontainedintheproductswhichisownedorcontrolledbytheSupplier,unlessotherwiseagreedupon.theSupplierreservetherighttograntandhasgrantedtheDemandertheUsageLicenseforprocessing,assembling,usingorsellingtheproductswhichareintellectualpropertyrightslicenserequired,inlinewiththeobjectiveofthiscontract.
需方提供的部件：如果需方提供部件供供方使用以履行本合同，则供方只能将需方提供的部件用于此目的。
UnderthecircumstancethattheDemandershouldprovideacomponenttotheSupplierforthepurposeofexecutingthecontract,theSuppliershallonlyusesuchcomponentprovidedbytheDemanderforsuchpurpose.
在本合同项下需方提供的任何技术、设计及功能需求，其知识产权和财产权归需方所有，此类技术、涉及或功能仅限于按需方要求移植到合同产品上去。
theintellectualpropertyrightsandpropertyrightsofanytechnology,designandfunctionalityprovidedbytheDemanderunderthiscontractbelongtotheDemanderandsuchtechnologyandinvolvingfunctionsshallonlybetransplantedontotheproductsasspecifiedonthecontract
9、保密：Confidentiality:
除了那些供方可从公开渠道或以正当途径从第三方获得的信息外，供方对任何从需方得到的与本合同相关的保密信息或需方经营/技术方面的信息，以及需方在交易谈判过程中提供的有关涉及商业秘密的信息，供方在任何时候，即使在本合同终止后，也不得透露给任何人。当需方有要求时，供方应将包含这些信息的所有文件和材料退还需方。
anyconfidentialinformationacquiredfromtheDemanderorfromthiscontract,orrelevanttoDemander’sbusinessandtechnology,andanyinformationinvolvingcommercialconfidentialityprovidedbytheDemanderinthecourseofnegotiationshallneverbedisclosedbytheSuppliertoanyotherpersonevenaftertheterminationofthiscontract,exceptforthoseinformationwhichisavailableinpublicorformallyacquiredfromthethirdparty.theSuppliershallreturnalldocumentsandmaterialscontainingsuchinformationtotheDemander,uponrequestbytheDemander.
如根据政府法令或法律程序要求任何一方必须向政府、裁判机构或任何第三防提供上述资料，可按规定提供，但应尽快将此项事实通知对方。
eitherpartyshallnotifytheotherpartyinatimelymannerofthefactthatsuchinformationmentionedabovehasbeendisclosedtothegovernment,supervisoryinstitutionoranythirdpartyasdemandedbythegovernmentregulationsorlaws.
本合同任何变更、解除或终止均不影响本条款的效力。
theeffectivenessofthistermshallnotbeaffectedbymodification,terminationorexpirationofthiscontract.
九、违约责任：LiabilitiesforBreachofContract:
1、供方未按照生效订单要求的时间交付产品，应承担逾期交货违约责任，即每逾期一天，供方应支付订单总金额的1%作为违约金。逾期十日仍未交付，需方有权解除该订单的约束力，供方应承担不能交货的违约责任，即支付订单总额一倍的违约金;
ShouldtheSupplierfailtodelivertheproductsbythetimeasrequiredontheeffectiveorder,theSuppliershallbeliableforthepenaltyarisingfromoverduedelivery,namelybypayingapenaltyof1%ofthesumofpayableontheorderforeveryoverdueday.Shouldthedeliveryisoverdueforten(10)days,theDemanderreservetherighttodischargethebindingforceoftheorderandshallbeliableforthepenaltyarisingfromfailuretomakethedelivery,namelybypayingapenaltyofdoublethatofthesumontheorder.
2、供方应交付验收合格的产品，否则需方有权退货，供方应在5日内重新送货验收，并承担逾期交货的违约责任。若再次验收不合格，需方有权解除该次订单，供方应承担不能交货的违约责任，即支付订单总额一倍的违约金。
theDemanderreservetherighttorejectanyproductsfailedtobeacceptedbytheDemander,andtheSuppliershallre-delivertheproductsreplacingthoserejectedwithinfive(5)workingdaysandbeliableforthepenaltyarisingfromtheoverduedelivery.Shouldtheproductsdeliveredforthesecondtimefailtobeacceptedagain,theDemanderreservetherighttoterminatesuchorderandtheSupplierisliableforthepenaltyarisingfromfailuretomakedelivery,namelybypayingapenaltyofdoublethatofthesumontheorder.
3、供方未按照订单要求的数量交付产品，应在3日内补齐，并承担相应的逾期交货违约责任。
Shouldtheproductsasspecifiedontheorderfailtobedeliveredinwhole,theSuppliershallreplenishtheundeliveredproductswithinthree(3)daysandbeliableforthepenaltyarisingfromtheoverduedelivery.
4、需方应按约定付款，否则应承担逾期付款的违约责任，即每逾期一天应支付未付货款总额的万分之五作为违约金。
theDemandershallmakethepaymentagreeduponorotherwisebeliableforthepenaltyarisingfromtheoverduedelivery,namelybypayingapenalty5?ofthesumofoutstandingpaymentforeachoverdueday.
5、如需方确认为免检产品的，由供方出具相关技术资料或品质保证书作为合同附件，若因供方所供产品质量问题给需方带来一切损失均由(供)方承担。
Shouldtheproductsbedeemedtobeinspection-freebytheDemander,theSuppliershallprovideallrelevanttechnicalinformationorqualityassurancecertificateastheattachmenttothecontract.theSuppliershallbeliableforanylosssustainedbytheDemanderarisingfromthequalityproblemsoftheproductsprovidedbytheSupplier.
6、本合同约定的违约金，作为违约的损失赔偿。如约定违约金数额低于实际损失，以实际损失为准进行赔偿。损失赔偿包括合同履行后可以获得的利益，但不得超过违反合同一方订立合同时应当预见到的因违反合同可能造成的损失。

十、合同解除：terminationofContract:
1、本合同任何一方均有权于另一方发生下列情形时解除本合同：
eitherpartyofthecontractreservestherighttoterminatethiscontractuponrealizationofanyfollowingcircumstances:
一方迟延履行合同义务，导致另一方的合同目的不能实现的，或者一方迟延履行合同义务，经另一方催告后十天内仍不履行的。
eitherpartydelaysexercisingitsobligationunderthiscontract,whichcausestheotherparty’sfailuretorealizetheobjectiveofthecontract,oreitherpartystillfailstoexerciseitsobligationwithinten(10)daysafterbeingurgedbytheotherparty.
另一方已经提出破产申请或被他人提出破产申请，或进入其他类似的法律程序的。
applicationforbankruptcyhasbeenlodgedbytheotherpartyoranyotherparty,orsimilarlegalprocedurehasbeenunderway.
另一方经营状况严重恶化。thebusinessoftheotherpartyisdeteriorating.
另一方有转移财产、抽逃资金、逃避债务的行为。
theotherpartyisfoundtobetransferringitsproperty,removingitscapitalorevadingitsliabilities.
当供方因各种原因要终止供货协议时，需提前3个月书面通知需方，需方根据需要，可以要求供方提供需方3个月的用量。如拒绝生产，则供方需向需方赔偿半年的供货金额。
thesuppliershouldinformdemanderinadvanceof3monthsinwrittenwhendecidestoendsupplyingagreement,andshouldsupplythequantityofthecomponentsfordemand’s3months’consumptionifdemandrequire.ifsupplierrefusestosupply,thensuppliershouldpayapenaltyofsemi-year’stransactionamount.
2、本合同因任何原因终止或解除后，双方在本合同及其附属文件项下的权利义务立即终止，但本合同及其附属文件项下售后服务条款、保证条款、违约责任条款、争议解决方式条款、知识产权条款及保密条款、以及其他依其性质应当继续有效的条款仍然有效。解除协议并不影响任何一方对因另一方违约或侵权行为造成的损失进行索赔的权利。
therightsandobligationsofbothpartiesunderthiscontractanditsassociatingdocumentshallbeterminatedimmediatelyuponterminationordischargeofthiscontractforanyreasons,butanytermsconcerningafter-saleService,Guarantee,BreachofContract,DisputeSolution,intellectualpropertyRights,Confidentialityunderthiscontractoritsassociatingdocument,andanyothertermswhichshouldremaineffectiveinnature,shallremainineffect.Dischargeofcontractshallnotaffecteitherpartytoclaimagainsttheotherpartyforanylossarisingfromitsbreachofcontractorinfringementofcopyrights.
十一、一般条款：Generality:
1、本合同的有效期间以双方签订日期为准。

2、未经需方盖章确认或特别授权，需方的采购、技术等人员无权对合同的价格、数量、交期、违约责任、验收等实质内容进行书面或口头承诺;本合同的委托代理人仅具有签署本合同的权利，不作其它授权理解。
procurementortechnicalpersonnelfromtheDemanderhasnorightstomakeanywrittenororalwarrantiesontheactualcontentoftheprice,quantity,deliverydate,liabilitiesforbreachofcontract,acceptanceunderthiscontract,unlessconfirmedwithstamporspeciallyauthorizedbytheDemander.theassignedrepresentativeunderthiscontractisonlyauthorizedtosignthiscontract,withnoanyotherauthorization.
3、只有在得到需方书面同意时，供方可以使用需方商标。
theSupplierisnotallowedtousetheDemander’strademark,unlessconsentinwritingbytheDemanderisattained.
4、因履行本合同发生异议，由双方当事人协商解决;协商不成的，应以向需方住所地人民法院提起诉讼的方式解决。
anydisputesintheexecutionofthecontractshouldbenegotiatedbetweenbothparties.ifthepartiescannotresolvethedisputebynegotiation,themattershouldbesubmittedtothepeople’sCourtoftheDemander’sresidentjurisdictionforlegalactions.
5、本合同一式四份，由双方签名盖章后生效，其中供方一份，需方三份。
thiscontractisinquadruplicateandonlyvalidatedaftersignatureismadebybothparties,withtheSupplierinpossessionofonecopyandtheDemanderinpossessionoftheotherthreecopies.
