6.Claim
索赔:
ifanyclaimsregardingmerchandiseshippedshouldbefiledwithin60daysuponthearrivalofgoodsatportofdestination.
若有任何有关此批装船货物的索赔发生，请于货物运抵目的港60日以內提出。产品到达目的地，因生产质量问题无法使用的，由卖方承担损失。7．arbitration
仲裁:
anydisputesarisingfromtheexecutionof,orinconnectionwiththiscontractshallbesettledamicablythroughfriendlynegotiationsbetweenbothparties.incasenosettlementcanbereachedwithin21daysthroughnegotiation,thecaseshallbesubmittedtotheForeigntradearbitrationCommissionoftheChinaCouncilforthepromotionalinternationaltrade,forarbitration,inaccordancewithitsprovisionruleofprocedure.thearbitralawardshallbeacceptedasfinalandbindinguponbothparties.thearbitrationfeeshallbebornebythelosingparty.
本合同在执行过程中引起的，或与本合同有关的任何争议将由双方友好协商解决。如果就争议双方在21天内未协商达成一致，应提交中国国际贸易促进委员会对外贸易仲裁委员会根据该会的仲裁程序暂行规则进行仲裁.仲裁结果对双方都是最终的，有约束力的。仲裁费用由败诉方承担。

附件：
本合同附件与本合同为同一合同不可分割的部分，具有同等法律效力。
9.Language语言:

11.装运通知

12.交货原则
Deliverypolicy
卖方在规定时间内所送货物必须符合订单要求，送错或送少，应及时更换或补货，否则，所带来的损失由卖方全部承担。

13.推迟交货和罚款
LateDeliveryandpenalty
如卖方没有按照合同规定准时交货，买方同意卖方付给罚款。加入卖方交货期超过7天，买方有权取消合同。取消合同的情况，卖方仍不能延误付给买方上述罚款。
ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenalty.incasetheSellersfailtomakedeliverylaterthan7days,theBuyershavetherighttocanceltheContractandtheSellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.
14.不可抗力
Forcemajeure
如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及时通知买方。
thesellersshallnotholdanyresponsibilityforpartialortotalnon-performanceofthiscontractduetoForcemajeure.Butthesellersshalladvisethebuyersontimeofsuchoccurrence.
15.争议的处理
DisputesSettlement
所有与此合同有关的争议应通过友好协商解决，如果协商不能解决，根据有关仲裁法则进行仲裁。仲裁应在深圳进行且其结果对双方均有约束力，任何一方均不应向法院或其他政府部门申请以改变仲裁结果。仲裁费由负方负担。

16.文字
Versions

第六条违约责任：

甲方延期付款的，乙方交付产品的时间可相应顺延，甲方按照延期支付金额的/日向乙方支付滞纳金，直至款项付清之日。甲方延期支付超过三十日的.，乙方有权选择解除合同，甲方按照合同滞纳金标准向乙方支付违约金（支付至乙方提出解除日），向乙方返还产品，甲方已经支付的款项作为赔偿，如不足以弥补乙方的损失的，由甲方另行赔偿。

乙方按照本合同约定的时间、地点、质量要求和技术标准向甲方提供定购产品，如延期交付的，按照未交付产品金额的/日向甲方支付滞纳金。因乙方延期到货给甲方造成的损失由乙方赔偿。（因甲方未按期支付价款导致延期交货的除外）

甲方未按合同约定收货或无正当理由提出异议拒绝收货的，乙方将产品运输至交货地点之日视为甲方收到货物和验收合格的时间，由此造成的损失由甲方负责。

第七条不可抗力：art.7theforcemajeure:
战争、动乱、瘟疫、地震、台风、洪水、物体坠落或其他非合同双方责任造成的爆炸、火灾、意外事故和自然灾害。任何一方由于不可抗力原因不能履行合同时，应在不可抗力事件发生后3日内通知对方，尽力减少损失。不可抗力造成的损失，由双方自行承担。

第八条争议解决：art.8Disputeresolutions:
双方发生争议的，应协商解决，协商不成的，由非第一和第二方所在地有管辖权的人民法院裁决。alleventualdisputesshouldbesettledthroughfriendlynegotiation.ifconsultationfails,arbitrationshouldbesettledbyajurisdictioncourtlocatedinacountryotherthanbothparties’ones.
第九条其他：article9miscellanea:
双方应对合同履行过程中的技术信息和商业秘密承担保密责任，如因任何一方未尽此义务导致他方经济损失，应予赔偿。
